In consideration of the terms outlined below and compensation offered for services rendered, Contractor, agrees to perform the following services for Client, Dewlyn LLC:  Assignment #  .

 

AGREEMENT TERMS

 

  1. Assignment #:

 

Completion of a Full Proposal which is valued at $500 and include the following sections: 

  1. Organization Description. This section is valued at $75
  2. Problem Statement (including needs assessment/gap in services). This section is valued at $125
  3. Target Population (characteristics for location and participants). This section is valued at $50
  4. Project Description (includes methodology for services, goals and objectives). This section is valued at $125
  5. SMART Goals and Evaluation (includes indicators of success, expected outcomes and sustainability). This section is valued at $50
  6. Program budget (includes itemized list of the program’s expected expenses for the current year – based on actual expenses provided or best practices for a program of this nature). This section is valued at $75

 

  1. Assignment Due Date:

This assignment shall be completed and submitted to support@dewlyn.com no later than (date),   , which is the deadline for this assignment.  Because of the nature of grant-writing, time is of the essence.  Therefore, there shall be no compensation for late assignments without prior written authorization.

 

  1. Compensation

In consideration for the services to be performed by Contractor, Client agrees to pay Contractor the following fee: $  for completion of the above referenced assignment # by the due date.

 

Compensation for this service shall be in subject to the following:

  1. Contractor shall submit completed assignments (only).
  2. Assignments must be submitted by the deadline date.
  3. Upon completion of each Assignment, Contractor shall invoice Dewlyn LLC for the agreed upon work completed. Invoices should be submitted to support@dewlyn.com.
  4. Client will pay Contractor via PayPal or Check within 5 business days of receipt of invoice for completed work only.
  5. The invoice should include the following: Project name and assignment number, the date of assignment completed, summary of the work performed, and the corresponding agreed upon fee.

 

  1. Independent Contractor Status

Contractor is an independent contractor, and neither Contractor nor Contractor's employees or contract personnel are, or shall be deemed, Client's employees.

 

  1. Indemnification

Contractor shall indemnify and hold Client harmless from any loss or liability arising from performing services under this Agreement.

 

  1. Confidentiality

Contractor acknowledges that disclosure to a third party or misuse of this proprietary or confidential information would irreparably harm Client. Accordingly, Contractor will not disclose or use, either during or after the term of this Agreement, any proprietary or confidential information of Client without Client's prior written permission except to the extent necessary to perform services on Client's behalf.

 

  1. Proprietary Information.

The product of all work performed under this Agreement (“Work Product”), including without limitation all notes, reports, documentation, drawings, computer programs, inventions, creations, works, devices, models, work-in-progress and deliverables will be the sole property of the Client, and Contractor hereby assigns to the Client all right, title and interest therein. Contractor retains no right to use the Work Product and agree not to challenge the validity of the Client’s ownership in the Work Product.

 

  1. No Partnership

This Agreement does not create a partnership relationship. Contractor does not have authority to enter into contracts on Client's behalf.

 

  1. Covenant Not to Compete.

You agree that at no time during the term of this agreement or for a period of one year after the completion of this assignment will you engage in any business activity with the below listed organization or with any of  Dewlyn LLC’s clients which is competitive with the Dewlyn LLC. You agree not to solicit Dewlyn LLC’s clients or attempt to induce other independent contractors associated with the Dewlyn LLC to terminate or breach an employment, contractual or other relationship with Dewlyn LLC.   

 

  1. Injunctive Relief.

You hereby acknowledge (1) that Dewlyn LLC will suffer irreparable harm if You breach your obligations under this Agreement; and (2) that monetary damages will be inadequate to compensate the company for such a breach.  Therefore, if You breach any of such provisions, then Dewlyn LLC shall be entitled to injunctive relief, in addition to any other remedies at law or equity, to enforce such provisions.

    1. All proposals shall be Word.doc, typed, single-spaced, font: 11 inch, Times New Roman, Arial, Calibri, or Segue UI.  Proposals shall be organized as follows:

      2. Problem Statement
      3. Target Population 
      4. Project Description
      5. SMART Goals Evaluation (includes sustainability)
      6. Budget  

      Additionally, all grant-writers agree to develop proposals with strict adherence to the “Dewlyn Rubric” which outlines narrative criteria for each section of the proposal.  The Dewlyn Rubric is attached to this Agreement or has been emailed to you.

  1. IMPORTANT:

Each section must be grounded in reliable research.  Please include your references.

Every proposal should be written in a manner that answers basic grant application questions.
